Terms of Service

These Terms of Service ("Terms") govern your use of AdsIQ ("the Service"), operated by Excite Foundry Ltd, a company registered in England and Wales with registered office at 85 Great Portland Street, London, W1W 7LT, United Kingdom, as part of the SuperchargeMe family of products ("we", "us", "our"). By accessing or using the Service at ads-iq.com, you agree to be bound by these Terms.

1. Service description

AdsIQ is an analytics and operations platform for paid media. The Service helps you analyze performance, identify winning creatives, optimize budgets, and propose campaign actions for your approval, through integrations with the advertising and ecommerce platforms you connect.

2. Account registration

To use AdsIQ, you must create an account using a supported sign-in method. You agree to:

• Provide accurate and complete information.
• Keep your account credentials secure.
• Notify us immediately of any unauthorized access.
• Accept responsibility for all activity under your account.
• Only connect accounts that you are authorized to access.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are accessing third-party platforms without authorization.

3. Acceptable use

You agree not to use the Service to:

• Run, manage, or analyze activity that promotes illegal products or services.
• Violate the policies of any platform you connect to AdsIQ.
• Connect accounts you do not own or are not authorized to manage.
• Reverse-engineer, decompile, or extract source code from the Service.
• Interfere with or disrupt the Service's infrastructure.
• Share your account access with unauthorized parties.
• Scrape or systematically extract data from the Service except via documented export features.
• Violate any applicable laws or regulations.

4. Connected accounts and authorization

The Service operates by connecting to your accounts on third-party platforms. By connecting an account, you represent that you are authorized to grant the requested permissions, that you have the necessary rights to allow us to read data and (where you explicitly approve it) take actions on those accounts, and that you will comply with the connected platform's terms.

You may revoke our access to any connected account at any time. Revocation will stop further data syncs but does not retroactively affect data lawfully processed before revocation.

5. Intellectual property

Your content and data

You retain full ownership of all data ingested into the Service, including campaign data, creative assets, performance metrics, and any content you upload. We claim no ownership over your content.

Our platform

The Service's software, design, branding, models we develop, scoring algorithms, and underlying technology are owned by Excite Foundry Ltd. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Service.

License to operate

By using the Service, you grant us a limited, non-exclusive, non-transferable license to process, store, transmit, and display your data as necessary to provide the Service and to generate Service outputs. This license terminates when you delete your account, subject to the retention windows described in our Privacy Policy.

Service outputs

You may use Service outputs (analytics, recommendations, generated content) for any purpose related to operating your business. We do not claim copyright over outputs generated specifically from your data.

6. Third-party integrations

AdsIQ connects to third-party services to provide its functionality. Your use of these integrations is also subject to the respective third party's terms of service. We are not responsible for the availability, performance, or actions of third-party services, including outages, rate-limit changes, deprecation of APIs, or policy changes that affect Service functionality.

7. AI-generated content and recommendations

AdsIQ uses artificial intelligence to assist with analysis, tagging, transcript generation, scoring, and recommendations. While we strive for high-quality output, you acknowledge that:

• AI-generated outputs may require human review before action.
• You are responsible for reviewing all proposed changes before approving them.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
• Past performance does not guarantee future results; recommendations to scale or pause spend are advisory only.
• You accept full responsibility for any campaign changes you choose to approve and execute.

8. Pricing and payment

AdsIQ may offer free, trial, and paid tiers. Pricing, features, and usage limits for each tier are described on the Service's pricing page or in your subscription agreement. We reserve the right to modify pricing with at least 30 days' notice to existing subscribers. Failure to pay may result in account suspension after a reasonable cure period.

9. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or secure, or that recommendations will achieve any particular outcome.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of revenue, profits, customers, goodwill, or data.
• Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
• Nothing in these Terms limits or excludes liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Excite Foundry Ltd, SuperchargeMe, and our officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party platform's terms of service.

11. Termination

You may terminate your account at any time through your account settings or by emailing hello@ads-iq.com. We may terminate or suspend your account if you violate these Terms, with or without notice depending on the severity.

Upon termination, your right to use the Service ceases. We will retain your data for 30 days after termination to allow you to export it, after which it will be permanently deleted (except where retention is required by law).

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of law provisions. Subject to applicable consumer-protection law, the courts of England and Wales shall have exclusive jurisdiction to settle any disputes arising under or in connection with these Terms.
